Terms of Service

1. Agreement to Terms
By accessing or using the FyleHub platform and services, you agree to be bound by these Terms of Service (“Terms”). These Terms apply to all clients, authorized users, and others who access or use our service on behalf of an institutional organization.
If you are accessing FyleHub on behalf of an institution, you represent that you have authority to bind that institution to these Terms.
2. Description of Services
FyleHub provides a cloud-based financial data operations platform comprising:
- Data aggregation — automated ingestion from custodians, fund administrators, prime brokers, and data vendors
- Data transformation — normalization, labeling, and format conversion of financial data
- Data distribution — automated delivery of processed data to designated destination systems
- Real-time data feeds — event-driven data delivery for supported sources
- API connectivity — REST API access for programmatic integration
- Security and compliance infrastructure — enterprise-grade security controls, audit trails, RBAC
- Operational reporting and monitoring dashboards
3. Enterprise Service Agreement and Subscription
Use of FyleHub services requires execution of a separate Enterprise Service Agreement (“ESA”) that defines specific terms including service levels, data processing obligations, security requirements, subscription fees, and payment terms. These Terms of Service are incorporated by reference into all ESAs.
Subscription Term: FyleHub subscriptions are annual contracts unless otherwise specified in the ESA. Subscriptions auto-renew unless written cancellation notice is provided at least 60 days before the renewal date.
Fees and Payment: Subscription fees are invoiced annually in advance unless otherwise agreed. Fees are non-refundable except as expressly stated in the ESA. Late payments incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
4. Acceptable Use
You agree to use FyleHub services only for lawful purposes and in accordance with applicable financial services regulations. You may not:
- Use the platform to process data in violation of applicable law or regulation
- Attempt to circumvent, disable, or compromise security controls
- Access or use data belonging to other FyleHub clients
- Misrepresent the nature, ownership, or source of data submitted to FyleHub
- Use the platform for any purpose other than institutional financial data operations
- Reverse engineer, decompile, or disassemble any part of the FyleHub platform
- Share access credentials with unauthorized parties
- Use the service in a manner that violates our Privacy Policy
5. Data Ownership
You retain all ownership rights to data you submit to FyleHub for processing. FyleHub claims no ownership of client data and processes data solely as a service provider under the terms of the ESA.
Upon termination of the ESA, FyleHub will return or delete client data in accordance with the data return and deletion procedures specified in the ESA, subject to legal retention requirements.
FyleHub retains ownership of its platform, technology, intellectual property, aggregated and anonymized platform analytics, and any improvements developed in the course of providing services.
6. Service Levels
FyleHub targets 99.9% platform availability, measured on a monthly basis excluding scheduled maintenance. Specific SLA terms, remedies for downtime, scheduled maintenance windows, and support response time commitments are defined in the ESA.
FyleHub will provide advance notice of scheduled maintenance of at least 48 hours for routine maintenance and 5 business days for major maintenance events.
7. Security Obligations
FyleHub maintains enterprise-grade security controls and will provide clients with audit reports and security documentation as specified in the ESA.
Clients are responsible for maintaining the security of their FyleHub access credentials, promptly notifying FyleHub of any suspected unauthorized access, and ensuring that their authorized users comply with these Terms.
8. Confidentiality
Both parties agree to maintain strict confidentiality of all Confidential Information exchanged in connection with the service. “Confidential Information” includes pricing, technical architecture, client data, and business information designated as confidential. Financial data processed by FyleHub is treated as strictly confidential in all circumstances. Confidentiality obligations survive termination of the agreement for three years, except for trade secrets which are protected indefinitely.
9. Limitation of Liability
Cap on liability: FyleHub's total cumulative liability for any claim arising from use of the service is limited to the total fees paid by the client in the twelve months immediately preceding the event giving rise to the claim.
Exclusion of consequential damages: Neither party shall be liable to the other for any consequential, incidental, indirect, special, or punitive damages, including lost profits, loss of data, or business interruption, regardless of the cause of action or whether such party has been advised of the possibility of such damages. The limitations in this section do not apply to breaches of confidentiality obligations or gross negligence.
10. Indemnification
Client indemnification: You agree to indemnify, defend, and hold harmless FyleHub and its officers, employees, and agents from claims arising from (i) your breach of these Terms, (ii) your use of the service in violation of applicable law, or (iii) data you submit to FyleHub that infringes any third-party rights.
FyleHub indemnification: FyleHub will indemnify you against third-party claims that the FyleHub platform itself infringes any third-party intellectual property rights, subject to the liability limitations above.
11. Termination
Either party may terminate the ESA (and thus these Terms) upon material breach by the other party that is not cured within 30 days of written notice specifying the breach.
FyleHub may immediately suspend or terminate access to the service if a client violates the Acceptable Use provisions of these Terms. Upon termination, all fees owed through the termination date become immediately due.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. The parties agree to submit to the exclusive jurisdiction of the federal and state courts located in New York County, New York for the resolution of any disputes.
Before initiating formal proceedings, both parties agree to attempt good-faith negotiation for a period of 30 days after written notice of a dispute.
13. Changes to Terms
FyleHub may modify these Terms at any time. Material changes will be communicated to enterprise clients via email with at least 30 days' written notice before the effective date. Continued use of the service after the effective date constitutes acceptance of the modified terms. If you do not agree to modified terms, you may terminate your subscription by providing notice before the effective date.
